Terms and Conditions

1. Eligibility

You must be at least the age of majority in your jurisdiction, or have permission from a parent or guardian, to use the Services. The Services are not intended for children under 13.

2. License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes, subject to these Terms.

You agree not to:

• Use the Services in any way that violates applicable law or regulations
• Reverse engineer, decompile, or attempt to extract source code except where permitted by law
• Interfere with or disrupt the Services, including by introducing malware or excessive load
• Use the Services to infringe intellectual property rights or privacy rights of others
• Misrepresent outputs from the Services as professional advice where a qualified professional is required

3. User Content

Some Services allow you to submit content ("User Content"), such as images, documents, text, audio, or video. You retain ownership of your User Content. You grant us a limited license to process and use your User Content solely to provide the Services and related support.

You represent that you have all rights needed to submit User Content and that doing so does not violate any laws or third-party rights.

4. AI-Generated Outputs and Disclaimers

Some Services may provide automated or AI-assisted outputs (for example, authenticity assessments, summaries, or personalized content). Outputs are provided for informational purposes only and may be inaccurate or incomplete.

Specifically:

• WatchCert outputs are not a guarantee of authenticity and should not replace professional inspection.
• LeaseLogic outputs are not legal advice and should not replace advice from a qualified lawyer.
• Eternify outputs are generated based on user-provided materials and system behavior; they may not reflect real views or facts.
• VibeSpark outputs are for general wellness and motivation and are not medical or mental health advice.

5. Purchases, Subscriptions, and Refunds

If you purchase subscriptions or in-app purchases, payments are processed by the app marketplace or a payment provider. Pricing, billing, cancellations, and refunds are handled under the policies of the relevant marketplace (e.g., Apple or Google) unless otherwise required by law.

6. Intellectual Property

The Services, including software, designs, trademarks, and content provided by FLC, are owned by FLC or its licensors and are protected by intellectual property laws. Except for the limited license above, no rights are granted to you.

7. Privacy

Our Privacy Policy explains how we handle information. By using the Services, you agree to the Privacy Policy.

8. Service Availability and Changes

We may modify, suspend, or discontinue any part of the Services at any time, including adding or removing features. We do not guarantee that the Services will be available at all times or error-free.

9. Termination

We may suspend or terminate your access to the Services if you violate these Terms or if we believe it is necessary to protect the Services, users, or third parties. You may stop using the Services at any time.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, FLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services.

To the maximum extent permitted by law, FLC's total liability for any claim relating to the Services will not exceed the amount you paid to FLC for the Service in the 12 months before the event giving rise to the claim, or CAD $100 if you paid nothing.

12. Indemnity

You agree to indemnify and hold harmless FLC and its directors, officers, employees, and contractors from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, except where consumer protection laws require otherwise.

14. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
